Carol Degener

Carol M. Degener is of counsel in the New York office of Pepper Hamilton LLP and is a member of the Financial Services Practice Group in the Commercial Department. Ms. Degener has a broad corporate and corporate finance practice that includes the establishment and operation of hedge funds, fund of funds, private equity funds and venture capital funds, domestically and offshore.

She represents investment management companies and other clients in matters arising under the Investment Company Act of 1940 and the Investment Advisers Act of 1940. Ms. Degener's practice also includes working with SEC and state registered and unregistered investment advisers and FINRA registered broker dealers. She has broad experience with the structuring of management companies and general partners, regulatory compliance, solicitation agreements and disclosure regarding performance.

Ms. Degener has twenty years experience with Regulation D private placements of debt and equity and her practice also includes Rule 144A and Regulation S private placements. Ms. Degener's practice includes secured and unsecured lending transactions, joint ventures and acquisitions. She also has significant experience in shipping sale leaseback transactions, financings and asset acquisitions and dispositions, and asset-backed securitization transactions, with a particular emphasis on financial services fee and lease receivables.

Ms. Degener spent two years as an associate in the Global Finance Department of Goldman Sachs & Co. She also worked with the Economics Minister at the American Embassy in Paris. Ms. Degener is a Harvard Law School class agent and a volunteer tour guide for the Central Park Conservancy. Ms. Degener is admitted to the New York, Pennsylvania and Massachusetts (inactive) bars and is a member of the American Bar Association, the New York State Bar Association and the Association of the Bar of the City of New York. She graduated from Harvard Law School in 1987 and earned a masters degree in international affairs at Columbia School of International and Public Affairs in 1984. Ms. Degener graduated magna cum laude, with honors in economics from Barnard College in 1983, with a major in economics. She is a member of Phi Beta Kappa. Ms. Degener spent a semester studying in Paris, France.
